Terms of Service

Welcome to LeadBooster. These Terms of Service ("Terms") govern your access to and use of LeadBooster's lead enrichment platform, including our Google Workspace Add-on, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, installing the LeadBooster Add-on, or otherwise using the Service, you represent that:

• You are at least 18 years old or the age of majority in your jurisdiction
• You have the legal capacity to enter into a binding contract
• You are authorized to bind your organization (if applicable) to these Terms
• All information you provide is accurate, current, and complete

2. Description of Service

LeadBooster is a lead enrichment platform that operates as a Google Workspace Add-on for Google Sheets. The Service provides:

• Data Enrichment: Access to web scraping, AI-powered research agents, and integration with third-party APIs for lead enrichment
• BYOK (Bring Your Own Keys) Model: Integration framework allowing you to use your own API keys from third-party services (OpenAI, Hunter.io, serper.dev, Apollo.io, and others)
• Background Processing: Automated enrichment tasks that run in the background with auto-resume functionality
• Google Sheets Integration: Native integration with Google Sheets for data import, processing, and export

3. Google Workspace Integration and Compliance

3.1 Google API Services User Data Policy

LeadBooster's use and transfer to any other app of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

3.2 Permissions and Data Access

LeadBooster requests the following Google Sheets permissions:

• Read access: To read data from your Google Sheets for enrichment processing
• Write access: To write enriched data back to your Google Sheets
• Spreadsheet management: To create and manage enrichment tasks within your spreadsheets

We only request the minimum permissions necessary to provide the Service and do not access any Google data outside the scope of these permissions.

3.3 OAuth 2.0 Authentication

LeadBooster uses OAuth 2.0 to securely authenticate with your Google account. We do not store your Google credentials. You may revoke LeadBooster's access at any time through your Google Account settings.

4. User Accounts and Registration

4.1 Account Creation

To use the Service, you must install the LeadBooster Add-on from the Google Workspace Marketplace. Your Google Workspace account serves as your LeadBooster account. You are responsible for:

• Maintaining the security of your Google account
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

4.2 API Key Management

You are solely responsible for:

• Obtaining, managing, and securing your own API keys from third-party providers
• Compliance with the terms of service of all third-party API providers you choose to use
• All charges incurred through your use of third-party APIs
• Keeping your API keys confidential and secure

Important: LeadBooster stores your API keys securely in your Google account using Google's secure storage mechanisms. We never transmit, store on our servers, or have access to your API keys. You can delete your API keys at any time.

5. Subscription Plans and Billing

5.1 Beta Period

During the beta period, the Service is provided free of charge. The beta period will end when we publicly announce the general availability of the Service. Beta users who sign up during the beta period will be entitled to preferential pricing as described on our website.

5.2 Paid Subscriptions

After the beta period ends, continued use of the Service will require a paid subscription. Subscription plans include:

• Free Tier: Limited to 10,000 enrichments per month
• Pro Plan: Unlimited enrichments at $25/month (beta users: $15/month forever)

5.3 Payment Terms

• Subscriptions are billed monthly in advance
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• You are responsible for all taxes applicable to your subscription

5.4 Third-Party API Costs

LeadBooster does not charge markup fees on third-party API costs. You pay third-party providers (OpenAI, Hunter.io, serper.dev, etc.) directly at their published rates. LeadBooster is not responsible for charges incurred through your use of third-party APIs.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service only for lawful business purposes consistent with these Terms. You agree to use the Service in compliance with all applicable laws, regulations, and third-party agreements.

6.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to collect, process, or store data obtained illegally or without proper authorization
• Scrape, harvest, or collect personal data in violation of privacy laws (GDPR, CCPA, etc.)
• Send unsolicited communications (spam) using data obtained through the Service
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use the Service to transmit malware, viruses, or harmful code
• Circumvent any access restrictions, rate limits, or security measures
• Resell, rent, lease, or sublicense the Service without our written permission
• Use the Service to compete with LeadBooster or develop a competing product
• Share your account credentials with unauthorized third parties
• Process data of individuals under 16 years old without proper consent mechanisms

6.3 Data Collection Compliance

You represent and warrant that:

• You have the legal right to collect and process all data you submit to the Service
• You have obtained all necessary consents and authorizations for data processing
• Your use of the Service complies with applicable data protection laws (GDPR, CCPA, etc.)
• You will not use the Service to process special categories of personal data (sensitive data) without implementing appropriate safeguards

7. Intellectual Property Rights

7.1 LeadBooster's Rights

LeadBooster and its licensors own all right, title, and interest in and to the Service, including all intellectual property rights. These Terms do not grant you any rights to use LeadBooster trademarks, logos, or brand elements.

7.2 Your Data

You retain all rights to the data you input into the Service ("Your Data"). You grant LeadBooster a limited, non-exclusive license to use Your Data solely to provide and improve the Service.

7.3 Enriched Data

Data obtained through third-party APIs remains subject to the terms and conditions of those third-party providers. You are responsible for complying with all third-party terms regarding use and retention of enriched data.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant LeadBooster a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

8. Data Processing and Privacy

8.1 Data Protection Compliance

LeadBooster is committed to protecting your privacy and complying with applicable data protection laws, including the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA).

8.2 Data Processing Agreement

To the extent LeadBooster processes personal data on your behalf, LeadBooster acts as a data processor and you act as the data controller. Our data processing practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

8.3 International Data Transfers

The Service may involve the transfer of data to countries outside your jurisdiction. By using the Service, you consent to such transfers. We implement appropriate safeguards for international data transfers, including Standard Contractual Clauses where required.

9. Service Availability and Support

9.1 Service Level

We strive to provide reliable Service but do not guarantee uninterrupted or error-free operation. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

9.2 Maintenance and Updates

We may perform scheduled or emergency maintenance that temporarily interrupts Service availability. We will provide reasonable notice of scheduled maintenance when possible.

9.3 Support

Pro Plan subscribers receive priority email support. We aim to respond to support inquiries within 48 business hours. Support is provided in English.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• Third-party APIs will remain available or functional

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADBOOSTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER ARISING FROM:

• Use or inability to use the Service
• Unauthorized access to or alteration of your data
• Third-party conduct or content on the Service
• Any other matter relating to the Service

IN NO EVENT SHALL LEADBOOSTER'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LEADBOOSTER IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

10.3 Third-Party Services

LeadBooster is not responsible for:

• The availability, accuracy, or reliability of third-party APIs
• Charges incurred through third-party API usage
• Compliance with third-party terms of service
• Data quality or accuracy from third-party sources
• Changes to third-party API functionality or pricing

11. Indemnification

You agree to indemnify, defend, and hold harmless LeadBooster, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws or regulations
• Your data collection or processing activities
• Your use of third-party APIs or services

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Uninstalling the LeadBooster Add-on from Google Workspace
• Contacting us at contact@leadbooster.dev to request account deletion

Upon termination, your access to the Service will cease immediately. We will delete your account data within 30 days, except where retention is required by law.

12.2 Termination by LeadBooster

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Illegal or fraudulent activity
• Extended inactivity
• Violation of third-party rights
• Risk to Service security or integrity

12.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• You remain liable for all charges incurred prior to termination
• No refunds will be provided for unused subscription periods
• You must cease using any LeadBooster intellectual property
• Sections 7 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 14 (General Provisions) survive termination

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to your registered email address
• Displaying a notice in the LeadBooster Add-on interface

Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

14. General Provisions

14.1 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of Germany.

14.2 Dispute Resolution

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us at contact@leadbooster.dev. We will attempt to resolve the dispute in good faith within 30 days.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.4 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and LeadBooster concerning the Service.

14.5 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of LeadBooster.

14.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

14.7 Force Majeure

LeadBooster shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

14.8 Export Compliance

The Service may be subject to export control laws. You agree to comply with all applicable export and re-export control laws and regulations.

14.9 U.S. Government Rights

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, and is provided with only those rights granted to all other users under these Terms.

16. Google Workspace Marketplace Specific Terms

16.1 Marketplace Compliance

LeadBooster is distributed through the Google Workspace Marketplace and complies with the Google Workspace Marketplace Terms and Program Policies.

16.2 Advertising Policy

LeadBooster does not serve advertisements within the Google Workspace Add-on interface, in compliance with Google Workspace Marketplace policies.

16.3 OAuth Verification

LeadBooster has completed OAuth App Verification and adheres to Google's security requirements for apps accessing Google user data.

By using LeadBooster, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
